1. Acceptance of Terms

By accessing or using the AEGIS platform ("Service") provided by Webtelic.AI LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AEGIS is an enterprise agentic coding platform that uses AI agents to autonomously architect, develop, test, and deploy web applications. The Service includes workspace management, agent orchestration, code generation, file storage, and related tools accessible via web interface and API.

3. Account Registration

You must authenticate via a supported identity provider (currently Google OAuth) to access the Service. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the Service to generate malicious software, malware, or code intended to cause harm
• Attempt to bypass security controls, policies, or guardrails configured in the platform
• Use the Service to infringe on intellectual property rights of others
• Share account access with unauthorized individuals
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the Service to process personal data in violation of applicable data protection laws

5. Intellectual Property

5.1 Your Content

You retain all rights to code, data, and content you upload to or generate through the Service ("Your Content"). We do not claim ownership of Your Content, and we will not use Your Content to train AI models without your explicit consent.

5.2 Platform IP

The Service, including its architecture, tools, agents, user interface, and documentation, is the intellectual property of Webtelic.AI LLC and is protected by applicable copyright and trademark laws.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Each workspace is isolated, and your code and agent interactions are not shared with other users. See our Privacy Policy for detailed information about data collection, storage, and processing.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control. Enterprise plan customers receive SLA guarantees as specified in their service agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBTELIC.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FROM AI-GENERATED CODE, DEPLOYMENT ERRORS, OR DATA LOSS.

9. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will be revoked and your workspace data will be retained for 30 days before permanent deletion, unless otherwise required by law or your enterprise agreement.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
